Offshore service providers in review – Part III – Kaizen

The time has finally come for another offshore service provider (OSP) review. I have previously reviewed SFM Offshore and Marcaria.

Today I will be focusing on Kaizen.

Products

Kaizen is a Hong Kong based company. While their specialty is Hong Kong incorporation, they offer a number of other jurisdictions for incorporation:

  • Hong Kong
  • China
  • Taiwan
  • Singapore
  • Marshall Islands
  • Seychelles
  • British Virgin Islands (BVI)
  • Brunei
  • Germany
  • Thailand
  • Cayman Islands
  • Belize
  • Samoa
  • Panama
  • Bahamas
  • Delaware
  • Mauritius
  • Niue
  • Nevada

A pretty impressive list of jurisdictions, suitable both for offshore and onshore incorporation. No crucial jurisdictions are missing and they have some unusual and interesting ones, like Niue and Brunei.

Kaizen lists prices in USD but accepts payments in HKD as well. They offer payment by bank transfer, check, credit card, PayPal, and Western Union. I like seeing OSPs that offer such a wide range of payment methods.

Kaizen only works with banks in Hong Kong and Singapore. Since banks there generally require foreigners to visit the bank in person (exceptions do occur), this means you may have to open a bank account on your own once the company is set up. Kaizen provides sufficient documents for you to do this.

It should be noted that similar to Marcaria, Kaizen uses partners to incorporate outside of jurisdictions where they have their own established offices: Hong Kong, Singapore, and China. This is why we will not be able to find Kaizen listed in for example Seychelles SIBA and equivalent lists of offshore financial intelligence units.

I would prefer to see a real name instead of the company name, but we will verify the company later.

The address states on their website matches the above details:

Kaizen address

We still don’t really have a name of anyone in the company, so let’s head over to ICRIS Cyber Search Center, which is the Hong Kong public registry of companies. There is a guest login available for basic searches. https://www.icris.cr.gov.hk/csci/login_i.do?loginType=iguest

If we search for “Kaizen Corporate Services Ltd”, we find a company with Company Registration (CR) number 0821300.

Kaizen ICRIS excerpt

Digging deeper, we use the Document Index Search to get a list of members of Kaizen Corporate Services Ltd. This is called “(E)FAR1 – Annual return (with a list of members)”, document reference 22900956104. For online view, this costs HK$ 21.

I’ll save you the HK$ 21 and just let you download the file here.

The document verifies Kaizen Corporate Services Ltd’s address and gives us the name of the shareholders:

  • Wong Heung – owns 50%
  • Yang Hsiao Hui – own 50%, also sole director

It also discloses the company’s to be Kaizen Secretaries Limited (CR number 640440), whose director is also stated in the document. This company can also be found and verified in ICRIS CSC. In fact, Kaizen has a number of companies, all of which can be found in public records.

With names and addresses of Kaizen’s shareholders, directors, and secretary’s known, I consider the due diligence to be a complete success.

Kaizen is a transparent and responsible (all due filings are done) offshore service provider.

One of Kaizen’s key selling points is that they are Certified Public Accountants. Naturally, this is something we must verify. To do this, we head over to Hong Kong Institute of Certified Public Accountants‘ website, which has a list of CPA practices, where we can find Kaizen listed:

Kaizen CPA

Conclusion

When you deal with an OSP staffed by CPAs, you are dealing with an OSP that is more qualified than most of its competitors.

I have had the pleasure of visiting Kaizen’s office in Hong Kong on a number of occasions.  When you open a bank account through Kaizen, they sometimes invite a bank manager to their offices and the whole process is concluded in their offices.

  1. This is where I was trying to post my feedback on Kaizen, let’s see if it works:

ust a note to say that I did end up going with Kaizen for a Seychelles IBC formation, and to-date I’ve been satisfied with their approach and responsiveness.

I did get a bit of a limp fish to assist with the bank account opening at HSBC, so their tout of “strong relationship” is hardly a slam-dunk… I still think I might have pulled it out of the fire, but I’m going to say that any “normal” person will not succeed in getting an HSBC HK account with a Seychelles IBC, and the limp fish they sent with me was likely to be an appeasement methods for “see, we tried, but it’s HSBC’s fault…”

To their credit, they do mention in bold-red letters that they cannot guarantee bank opening success, but they should prolly start dissuading their clients actively from considering it possible.

    Time will tell.

    Cheers,
    Nage42

  2. Hi Streber, any reviews of service companies in the Caribean or Latin America?
    Thanks,

  3. Hello Streber. Do you know which banks in Hong Kong accept INTERBANK OPERATIONS? This kind of operation is also known as server to server operation. Tehy require phone number and operator code from the HK bank operator.

    thanks
